These Terms of Use (“Terms of Use”) apply to all uses of and visits to Smartek-its.com (sometimes, the “Site”), and your use of Smartek-its.com is conditioned on your acceptance of the terms and conditions contained in these Terms of Use and our Privacy Policy (“Privacy Policy”), accessible from our home page. Your use of Smartek-its.com constitutes a binding agreement between you and Smartek ITS, Inc (“Smartek ITS”) and your consent to these Terms of Use and our Privacy Policy. We reserve the right to modify these Terms of Use from time to time without notice, and we encourage you to review them whenever you visit Smartek-its.com.

You may not use the information or content provided on Smartek-ITS.com in a way that may suggest any connection with or endorsement of any product or service, other than those provided by Smartek ITS, or which violates any property, privacy or other rights. You may not use Smartek-ITS’s url’s, trademarks, copyrighted materials, or attempt to effect any “matchmaking” advertising by third parties.
3. Use of Bulletin Boards and Other Communication Forums
Information posted in bulletin boards, blogs, e-mail messages and other forums may be posted, read and/or collected by members of the general public – please use caution in posting and/or using any such information. Smartek-ITS.com is not responsible for messages, images, text or other materials submitted on such forums. You may only use these forums for appropriate, related content. When using a forum, you may not: (a) use language to defame, abuse, harass, stalk, threaten, or violate the legal rights of others; (b) publish, post, or circulate any defamatory, abusive, harmful, discourteous, infringing, obscene, pornographic, profane, indecent, malicious, threatening, or unlawful material or information; (c) upload content that infringes on any copyright, trademark, patent, or other proprietary rights of others; (d) upload files that contain viruses, worms, trojan horses, time bombs, corrupted files, or any other software or program that may damage, disable, overburden or impair the operation of another’s website, computer, or network; (e) falsify the origin or source of content; or (f) advertise or offer to sell any goods and services, or conduct or forward surveys, contests or other promotions without the express written consent of Smartek-ITS . You also understand that the License Grant of Section 7 below applies to your use of all Smartek-ITS.com forums.
4. Payments
When you purchase products or services from the Site, we may request your name, address, telephone number, e-mail address and certain billing information. This information allows us to verify the authenticity of users and to respond to billing questions. Credit card, debit card, or other account information will be collected by or submitted to a third party operational service provider to conduct the financial transaction in a secured manner; the third party service provider will be solely responsible for all financial transactions and the collection, use, and storage of your personal financial information.
5. Advertisers
Third party advertisers (“Advertisers”) may present statements, messages, offers, advice, or promotional materials on or through Smartek-ITS.com. We do not control or endorse any Advertisers. Any dealings with Advertisers found on or through Smartek-ITS.com, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the Advertisers. Smartek-ITS and its managers, officers, members, affiliates, employees, agents, representatives, suppliers and contractors (all of the foregoing, collectively, the “Representatives”) are not liable for any loss or damage of any sort incurred as a result of any Advertisers on Smartek-ITS.com.
6. License Grant
You grant Smartek-ITS a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, copy, modify, display, archive, store, distribute, reproduce and create derivative works from all content provided to Smartek-ITS.com, in any form, media, software or technology of any kind now existing or developed in the future. Without limiting the generality of the foregoing, you authorize Smartek-ITS to include the content you provide in a searchable format that may be accessed by guests of Smartek-ITS.com and other websites and search engines. You further grant Smartek-ITS permission to use any information, suggestions, ideas, drawings or concepts communicated for any purpose, commercial, public or otherwise, without the need for compensation of any sort to you. By posting or submitting content to Smartek-ITS.com, you also warrant and represent that you own or otherwise control all of the rights to the content of your public posting, and that use of your content by Smartek-ITS will not infringe or violate the rights of any third party. Smartek-ITS reserves the right to: (i) review at any time and to delete any content that may be deemed inappropriate or appear to be in violation of these Terms of Use; and (ii) block an individual entirely if such individual’s use of Smartek-ITS.com is deemed inappropriate by Smartek-ITS in its sole discretion.
7. Warranty Disclaimer
Smartek-ITS and its representatives make no representations or warranties with respect to Smartek-ITS.com, its content or the suitability of the information, products, and services contained on Smartek-ITS.com for any purpose. All such items are provided “as is,” without warranty of any kind. Smartek-ITS and its representatives hereby disclaim all warranties and conditions, express or implied, including without limitation, implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement with respect to Smartek-ITS.com and any website with which it is linked. Smartek-ITS also makes no representations or warranties as to whether the information accessible via Smartek-ITS.com, or any website with which it is linked, is accurate, complete or current. It is your responsibility to evaluate the accuracy and completeness of all information, opinions and other material on Smartek-ITS.com or any website with which it is linked. Food stuff/supplement products cannot be returned for a refund under any circumstances.
8. Limited Liability of Smartek-ITS.com
In no event shall Smartek ITS or its representatives be liable for any damages (including, but not limited to, direct, indirect, punitive, incidental, special or consequential, loss of use, loss of data, loss caused by a computer or electronic virus, loss of income or profit, loss of or damage to property), claims of third parties, or other losses of any kind or character related to the use of Smartek-ITS.com or any website with which it is linked, or for any information, product, or service obtained through Smartek-ITS.com, even if Smartek-ITS.com or any of its representatives have been advised of the possibility of such damages.
9. Release, Waiver, Indemnification
You agree to release, defend, indemnify and hold harmless Smartek-ITS and its representatives from and against any claims, actions, costs, expenses, or demands, including, without limitation, reasonable legal and accounting fees, resulting from any content you submit, post to, or transmit through Smartek-ITS.com, your use of Smartek-ITS.com, your violation of these terms of use, your violation of any rights of another, or otherwise arising out of or relating to your use of Smartek-ITS.com in any way. We reserve the right to take exclusive control and defense of any such claim subject to indemnification by you, in which event you will cooperate fully with Smartek-ITS.com in asserting any available defenses.
10. Legal Notice and Acceptance of Terms of Use and Privacy Policy
By using Smartek-ITS.com, you acknowledge that you have read these Terms of Use and our Privacy Policy, and agree to all their terms and conditions. If you do not agree, please do not use Smartek-ITS.com.
using Smartek-ITS.com after our Terms of Use have been revised, you indicate your acceptance of – and agree to be bound by – the revisions. Smartek-ITS.com is created and controlled by Smartek ITS, Inc in the State of Florida, and these Terms of Use are governed by the laws of the State of Florida (excluding any applicable conflict of law’s provisions). The exclusive jurisdiction and venue concerning all disputes arising out of or relating to these Terms of Use or use of Smartek-ITS.com shall be Pinelles County, Florida.
Smartek-ITS.com and its contents are the property of Smartek ITS, Inc and are protected, without limitation, by U.S. and foreign copyright and trademark laws. Smartek-ITS.com is a service mark of Smartek ITS, Inc. Other titles, logos, designs, products, services and company names displayed on Smartek-ITS.com may be trademarks and/or service marks of their respective owners.
11. No Waiver
The failure of Smartek-ITS to enforce any provisions of these Terms of Use or respond to a breach by you or other parties shall not in any way waive its right to enforce subsequently any terms or conditions of these Terms of Use or to act with respect to similar breaches.
12. Termination
Smartek-ITS.com reserves the right, in its sole reasonable discretion, to terminate your access to all or any part of Smartek-ITS.com at any time without notice.
